The agreement between your business and Automates PH for using Tindahub. Written to be read rather than to be survived, because terms nobody reads protect nobody.

Three sections are worth your attention before the rest. Section 5 on payments, because Tindahub records that you were paid and does not check it. Section 6 on deliveries, because the courier is not us and cash on delivery carries a real risk. Section 8 on what we do not promise.

1. Who this agreement is between

This is between Automates PH, which operates Tindahub, and you, the business using it. Creating an account means you accept these terms. Under the Electronic Commerce Act of 2000 (Republic Act 8792) that acceptance is as binding as a signature on paper.

If you are accepting on behalf of a company, you are confirming you are allowed to. You need to be old enough to enter a contract, which in the Philippines means 18.

2. What Tindahub is

Software for running a shop: a point of sale, stock and ingredient tracking, staff time and payroll, and, where you enable them, ordering through Messenger and booking deliveries.

It is a tool, not an accountant and not a bookkeeper. It records what you and your staff put into it and calculates from that. It does not verify that what you entered is correct, and it does not file anything on your behalf. Your books, your tax and your statutory obligations remain yours.

We improve the product continuously, which means features change. If we remove something you depend on, we will tell you before we do it rather than after.

3. Your account, your staff, your responsibility

You are responsible for what happens under your account. That includes everything your staff do with the access you give them.

  • Keep your password to yourself. Staff PINs are how you tell one person's actions from another's, so a shared PIN destroys the only audit trail you have.
  • Remove access for anyone who leaves, on the day they leave.
  • Tell us promptly if you think someone has got into your account.
  • Make sure what you enter is accurate. We calculate from it; we cannot check it.

Do not use Tindahub to break the law, to record trade that you are hiding from an authority, to attack or overload the service, or to resell access to it as your own product.

4. Free, the trial, and paid plans

The free plan is free, with no card and no expiry. It has limits on how many products, raw materials and staff you can hold, and those limits are shown on the pricing page.

Every new shop gets 7 days with the paid features switched on, with no card. On day 8 you move to the free plan. Your shop keeps trading: the till, payroll and Messenger orders all continue to work. What stops is the paid extras. You are not locked out of your own sales at any point, and nothing is deleted because a trial ended.

Plans and prices are the ones shown on our pricing page when you subscribe. They are not restated here, because a price written into a terms page becomes a second source of truth and the two eventually disagree. If we change what you pay for a plan you are already on, we will tell you at least 30 days beforehand and you may cancel before it takes effect.

Some parts of a plan are charged per business and some per branch. The pricing page says which is which for each one.

5. Paying us, and being paid by your customers

What you pay us. Subscriptions are charged in advance, monthly or yearly. Yearly is billed up front. Payments to us are handled by a payment provider; we do not store your full card number. Cancel any time and you keep the plan until the end of the period you have paid for. We do not refund part-used periods unless the law requires it or we have got something wrong.

What your customers pay you is between you and them. This matters more than it sounds, so plainly: Tindahub does not process your customers’ payments and does not hold your money. When you record a sale as cash, as a bank transfer or as a wallet payment, Tindahub is recording that you say it happened. It is not confirming that money arrived, and it cannot. Checking that you were actually paid is your job, in your own bank or wallet app.

If a customer sends a screenshot as proof of payment, that screenshot is a picture. Treat it as a claim to be checked, not as a receipt.

6. Deliveries

Where you enable it, Tindahub books deliveries with a courier or lets you dispatch your own riders.

We are not the courier and we do not carry anything. A booked delivery is a contract between you and that courier, on their terms. Whether the rider arrives, when, and in what condition the goods get there is theirs to answer for, and any claim goes to them.

The fare is quoted live and we never fix it.Courier pricing moves with distance, traffic, driver supply and surcharges, so the price you see is the price at that moment and it can be higher at another. We do not add a commission to it and we do not take a share of what you sell. We show you the courier’s quote and you decide.

Cash on delivery carries a risk you should understand before you switch it on. When a rider collects cash for you, the money is with that courier until it is remitted, and couriers generally disclaim responsibility for it. If cash goes missing between your customer and you, that sits between you and the courier. We can show you what the system recorded; we cannot recover the money.

7. Your data, and your customers' data

Your data stays yours.We do not sell it, we do not give it to advertisers, and we do not use your shop’s records or your customers’ records to train artificial intelligence for anyone else. We hold it to run the service for you.

For your customers’ and staff’s information, you are the one responsible under the Data Privacy Act and we act on your instructions. That means it is on you to have told them what you collect and why, and to have a lawful reason for holding it. Our privacy policy sets out how we handle all of it,, including what gets removed on request and what does not.

You can export your data while your account is open. Do it before you close the account, because afterwards we cannot recover it.

8. What we do not promise

We work hard to keep Tindahub running and we are not going to pretend it will never be down. There is no guaranteed uptime figure on the free plan. Maintenance happens, and third parties we depend on have outages of their own.

The service is provided as it is. We do not warrant that it will be uninterrupted, error-free, or fit for a purpose we have not agreed with you in writing.

Keep this in mind when you rely on it. If your business cannot survive an hour without a till, have a way to take money on paper. That is true of every system, not just ours, and an honest terms page should say so.

9. Liability

Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else the law does not let us limit. Philippine consumer protection rights are not affected by this section.

Beyond that, and to the extent the law allows: we are not liable for lost profits, lost sales, lost goodwill, or for data you lost because it was never exported. Our total liability to you for any claim is limited to what you paid us in the twelve months before it arose. If you are on the free plan, that figure is zero, which is the honest consequence of a product that costs nothing.

10. Ending this

You can leave whenever you like. Cancel in the app or write to mategroupph@gmail.com. Export your data first.

We can suspend or close an account if it is being used to break the law, to harm other users or the service, or if a payment stays unpaid after we have asked. Except where the law or the severity of the problem stops us, we will warn you first and give you a chance to put it right.

After an account closes we delete its data as described in the privacy policy, other than what we are required to keep.

11. Changes, and the law that applies

We may change these terms. Where a change materially affects you we will tell you in the app or by email at least 30 days beforehand, and continuing to use Tindahub after it takes effect means you accept it. If you do not, you can cancel.

These terms are governed by the laws of the Republic of the Philippines, and the courts of the Philippines have jurisdiction. If a court finds any part of this unenforceable, the rest still stands.
